This policy describes the terms and conditions for participation in the Croissant Conference Room Booking Program. In this policy, the term "Host” refers to the coworking space partner. In this policy, "Croissant" or "Service" refers to the product owner, publisher, and distributor, Croissant, Inc.
Program Structure: Croissant offers the opportunity for Host to provide conference room (“Space”) access to Croissant members (“Guest”, “Member”).
Price Listing Structure: The Host is solely responsible for establishing the fee for their space through the service, however, Croissant recommends preferential pricing for bookings through the Croissant platform. (i) Preferential Pricing means that the price of booking listed on Croissant, is recommended to be at least 15% lower than any conference room pricing listed publicly on any other booking platforms. (ii) Changes to the Fee for Hourly Bookings will not affect the amount billed for Hourly Bookings that have already been booked, even if such Hourly Bookings have not yet begun. The Host MUST notify Croissant of a change to any Fee through the Service, either by editing the rates in the Host dashboard on the Croissant website, or by emailing partners@getcroissant.com. Notifying the Guest directly is not sufficient and will not increase the Fee through the Service.
Fee & Payment Structure: Croissant will take a 10% service fee per booking. The total amount to be paid to the Host (listed price minus booking fee) will be included in the regular monthly Croissant payouts to the Host.
The Host must abide by the following Host policies:
The Host may request to amend this policy to account for their own circumstances. A request to amend the the policy does not guarantee an outcome nor that the amendment will go into effect.
The Host or Croissant may terminate any conference room listings without cause upon written notice to the other party. Furthermore, conference room listings shall automatically terminate upon the occurrence of the following: Misappropriation of funds, Malfeasance or misfeasance, willful fraud, spam emails and other forms of internet abuse behaviours.
(a) The Host and Croissant shall indemnify the other, its parent, subsidiaries, affiliations, and their respective officers, agents and employees and hold them harmless from and against any and all actual loss, damage, liability, claim, encumbrance, deficiency, cost or expense, including reasonable attorney’s fees, resulting from any breach of any of the representations, warranties, or policies made herein by either one, or resulting from acts or omissions of either one in performing its obligations hereunder.
(b) Except as specifically provided herein, neither the Host or Croissant shall be liable to the other party for any profits lost by the other party or for any consequential, exemplary, incidental, indirect or special damages suffered by the other party, even if such party has been advised of the possibility of such damages.
(c) No claim, regardless of form, which in any way arises out of this Policy or out of any Parties’ performance of this Policy, may be made nor any action based upon such claim brought, by any Party more than one (1) year after the basis for the claim becomes known or should have been known to the Party desiring to assert it.

It is expressly understood and agreed by the Parties that, anything set forth herein to the contrary notwithstanding, this Policy shall not be construed as a partnership, association, franchise, employment relationship or joint venture, and that neither Party is an agent of the other Party and neither Party has any authority to assume or create any obligation with a third party on behalf of the other Party.
