Payout Policy


This policy describes the terms and conditions for participation in the Croissant Conference Room Booking Program. In this policy, the term "Host” refers to the coworking space partner. In this policy, "Croissant" or "Service" refers to the product owner, publisher, and distributor, Croissant, Inc.

PROGRAM, PRICE, FEE, AND PAYMENT STRUCTURE

Program Structure: Croissant offers the opportunity for Host to provide conference room (“Space”) access to Croissant members (“Guest”, “Member”).

Price Listing Structure: The Host is solely responsible for establishing the fee for their space through the service, however, Croissant recommends preferential pricing for bookings through the Croissant platform. (i) Preferential Pricing means that the price of booking listed on Croissant, is recommended to be at least 15% lower than any conference room pricing listed publicly on any other booking platforms. (ii) Changes to the Fee for Hourly Bookings will not affect the amount billed for Hourly Bookings that have already been booked, even if such Hourly Bookings have not yet begun. The Host MUST notify Croissant of a change to any Fee through the Service, either by editing the rates in the Host dashboard on the Croissant website, or by emailing partners@getcroissant.com. Notifying the Guest directly is not sufficient and will not increase the Fee through the Service.

Fee & Payment Structure: Croissant will take a 10% service fee per booking. The total amount to be paid to the Host (listed price minus booking fee) will be included in the regular monthly Croissant payouts to the Host.

HOST POLICIES

The Host must abide by the following Host policies:

  • The host is solely responsible for maintaining the Space in safe condition and in compliance with all applicable laws, regulations and ordinances and any applicable building requirements.
  • The Host is solely responsible for ensuring that the Space is clean and ready to use at the start of each booking period.
  • The Host is solely responsible for ensuring that the booking of the Space through the Service does not violate any lease or other agreements relating to Space or any building policies.
  • If the Host Space is booked to begin at a specified time or on a specified date, the Host shall ensure that the Space is available to the Guest at that time or on that date. In the event the Space is not available to the Guest at that time or on that date, the Host shall make available to the Guest at the originally scheduled time and date another space in the same building of equal or larger size and similar configuration for the same Fee.
  • The Host is responsible for making sure that amenities listed for conference room access are included during the visit.
  • The Host is solely responsible to make best effort as to not double book their conference room. In cases of double booking, the Host shall make available to the guest another space in the same building of equal or larger size and similar configuration for same or lesser Fee.
  • The Host is solely responsible for blocking out time when a Guest may not book conference rooms. In the event that time was meant to be blocked, but is not, and there is a booking, the Host shall honor the booking at that exact date and time.
  • Both Guests and Hosts may submit feedback to Croissant following the completion of a conference room booking. The Host acknowledges and agrees that members may publicly post ratings and reviews of the Host Space, as applicable, and that Croissant may, but is not obligated to, monitor such postings and is not responsible in any manner for such ratings and reviews, and the Host hereby release Croissant from any and all claims, causes of actions, obligations or liabilities arising from or relating to such ratings and reviews.

AMENDMENTS

The Host may request to amend this policy to account for their own circumstances. A request to amend the the policy does not guarantee an outcome nor that the amendment will go into effect.

TERMINATION

The Host or Croissant may terminate any conference room listings without cause upon written notice to the other party. Furthermore, conference room listings shall automatically terminate upon the occurrence of the following: Misappropriation of funds, Malfeasance or misfeasance, willful fraud, spam emails and other forms of internet abuse behaviours.

REPRESENTATIONS, WARRANTIES, INDEMNITIES, LIMITATION OF LIABILITY

(a) The Host and Croissant shall indemnify the other, its parent, subsidiaries, affiliations, and their respective officers, agents and employees and hold them harmless from and against any and all actual loss, damage, liability, claim, encumbrance, deficiency, cost or expense, including reasonable attorney’s fees, resulting from any breach of any of the representations, warranties, or policies made herein by either one, or resulting from acts or omissions of either one in performing its obligations hereunder.

(b) Except as specifically provided herein, neither the Host or Croissant shall be liable to the other party for any profits lost by the other party or for any consequential, exemplary, incidental, indirect or special damages suffered by the other party, even if such party has been advised of the possibility of such damages.

(c) No claim, regardless of form, which in any way arises out of this Policy or out of any Parties’ performance of this Policy, may be made nor any action based upon such claim brought, by any Party more than one (1) year after the basis for the claim becomes known or should have been known to the Party desiring to assert it.

RELATIONSHIP OF THE PARTIES

It is expressly understood and agreed by the Parties that, anything set forth herein to the contrary notwithstanding, this Policy shall not be construed as a partnership, association, franchise, employment relationship or joint venture, and that neither Party is an agent of the other Party and neither Party has any authority to assume or create any obligation with a third party on behalf of the other Party.
